Version 1.1

Terms and Conditions of Use

Version 1.1 — Effective from October 19, 2026

These Terms and Conditions (the "Terms") govern access to and use of the Talent2 platform (the "Platform"), operated by Talent2.AI Inc, a corporation organized in the State of Delaware (USA), FEIN 41-2637060, with its address at 16192 Coastal Highway, Lewes, Delaware 19958, United States ("we"). By ticking the acceptance checkbox, you confirm that you have read, understood and accepted these Terms. This electronic acceptance is fully valid under Colombian Law 527 of 1999 and other applicable e-commerce laws.

1. Purpose

The Platform is a software service that connects companies needing talent ("Companies") with independent professionals ("Consultants"). It covers the whole cycle: job requests, search, interviews, offers, hiring, project management, time tracking, invoicing and payments.

2. Eligibility and registration

  1. You must be at least 18 years old and legally able to enter into contracts. If you act on behalf of a legal entity, you confirm that you are authorized to bind it.
  2. The information you provide must be true, complete and up to date.
  3. Your credentials are personal. You must keep them safe and notify us immediately of any unauthorized use.

3. User obligations

You agree to:

  • use the Platform lawfully, in good faith and in line with these Terms;
  • not post false, discriminatory, unlawful or infringing content;
  • not reverse-engineer the Platform, scrape it, breach its security or interfere with its operation;
  • process other users' personal data that you can access only for the purposes of the service and in compliance with data protection law. Companies act as independent controllers for consultant data they download or use outside the Platform.

4. Relationship between Companies and Consultants

The specific terms of each engagement (scope, rates, duration and confidentiality) are governed by the Master Services Agreement and the Order Forms the parties sign through the Platform. Those documents prevail over these Terms if they conflict. Unless expressly agreed, the Platform is not the Consultants' employer.

5. Automated recommendations

Match scores, market comparisons and AI assistant answers are supporting tools and may contain errors. Hiring decisions are made by users. We do not guarantee specific hiring outcomes.

6. Fees and payments

Fees and invoicing and payment terms are set out in the Master Services Agreement and the applicable Order Forms.

7. Intellectual property

The software, trademarks, designs and content of the Platform belong to us or our licensors. We grant you a limited, non-exclusive, non-transferable license to use the Platform while your account is active. You keep ownership of the content you upload and grant us a license to host, process and display it in order to provide the service.

8. Personal data

Personal data is processed under the Privacy Policy, which you accept separately, and the Cookie Policy.

9. Availability and liability

We aim to keep the Platform available and secure, but we do not guarantee uninterrupted or error-free operation. To the extent permitted by law, we are not liable for indirect damages, loss of profit, or for the acts or omissions of other users. Nothing in these Terms limits rights that cannot be waived by law.

10. Suspension and termination

We may suspend or close accounts that breach these Terms or the law, with prior notice where reasonably possible. You may ask us to close your account at any time.

11. Changes

We may change these Terms. We will give advance notice of material changes, and you will need to accept the new version to keep using the Platform. Every acceptance is recorded with its date, time and version.

12. Governing law

These Terms are governed by the laws of the State of Delaware (USA), and any dispute will be submitted to the competent courts of the State of Delaware. This is without prejudice to the mandatory consumer and personal data protection rules of your country of residence, including Colombian Law 1581 of 2012 for data subjects in Colombia, which will apply where relevant.
